Limit one (1) entry per person or one (1) entry per team that consists of no more than three eligible students. All entries become the property of the Organizer and will not be acknowledged or returned.
  6. Contest Judging
The judging panel is made up of FINRA-licensed, S.E.C. registered equity research analysts from the Noble Capital Markets research department (the “Panel”). Although the Panel is affiliated with the Organizer, the selection process and the decision of the Panel is not influenced by the Organizer or any other group or sponsor of the Contest. The Panel will select the winner based upon the judging criteria set forth in the entry guidelines supplied to each contestant, following successful registration for the Contest. In the event that the first choice of the Panel as the winner of the Contest is unavailable, as defined under the Winner Notification section below, or is found to be disqualified as further defined in the Official Rules of the Contest, the Panel will select an alternative submission until a winner is identified. Notwithstanding the Panel is made up of experienced equity analysts, it is accepted and understood that the stock market is highly volatile and therefore, the assumptions made, over time, in the winning entry may prove to be incorrect as judging is made on fundamental analysis and not market timing. The decision of the Panel is final and is not appealable.

  7. Winner Notification
On or about March 1, 2022, the Panel, on behalf of the Organizer will select a winner (either individual or team) from all eligible entries received. The Organizer will attempt to notify the potential winner or team captain via email, telephone or through any other method of contact on record with the Contest, on or about March 2, 2022. If the first-identified winner cannot be contacted within five (5) days from the date of the first attempt to contact the first-identified winner, the Organizer will consult the Panel for an alternate potential winner and continue the process of identification and notification until the individual or winning team (the “Winner”) is confirmed.

  8. Prizes
Phase One - The Winner will receive the following: a cash prize of $5,000, to be applied toward tuition, purchase of curriculum-related books or student loan payments – the full amount must be applied to one of these three categories of cash payment; a 10-week internship in Noble Capital Markets’ research department (the “Internship”), paid as a contactor (1099 status), in the equivalency of a fulltime employee paid at the rate of $40,000 per annum, without employee benefits, or expenses reimbursed, or paid, that relate to relocation to, or accommodations at, the place of Internship, and; a video of the award presentation digitally displayed on the NASDAQ Tower in Times Square, at a date and time to be determined. There is no cash award or cash value if Winner chooses, for whatever reason, not to participate in the Internship. If a team is the Winner, the cash prize will be divided and paid (applied to the categories described above) in equal amounts to each team member. With respect to the internship, one member (only) of the team may be selected to participate, with the team captain making such final determination. A different team member may be selected for the internship, again at the discretion of the team captain.

Phase Two – An important element of an institutional-quality equity research report is the establishment of a 12-month price target and market rating. Given that the Winner will be announced at the beginning of the 12-month period, the Contest has a second phase that rewards the Winner if the market rating and price target is achieved at the end of the 12-month period. The Winner will receive a cash prize of $2,500 if the price target established in the winning report is within 5% of the stock price of the subject company on March 1, 2022, and, the market rating established in the winning report was correct, based upon the stock price on March 1, 2023 (Outperform - stock price on that date is >15% above the price in the report; Market Perform - stock price on that date is -15% to 15% compared to the price in the report; Underperform - stock price on that date is >15% below the price in the report). There is no restriction as to the use of the prize money. If a team is the Winner, the cash prize will be divided and paid in equal amounts to each team member.

School Award – The school at which the Winner is enrolled will receive a cash amount of $5,000 in order to establish the Channelchek Scholarship, a one-time scholarship awarded to a student or students, at the choosing of the school (with the exception of awarding the Channelchek Scholarship to the Winner), who has or have exhibited excellence in a finance-related field of study.

  9. Awarding of Prizes
All cash amounts set forth herein will be paid to the Winner and the school of the Winner within six (6) weeks following the Contest Period. With respect to the Winner participating in the Internship, the Winner will be paid a cash amount, without deductions, in five equal payments, following each two-week period of the Internship. The Winner agrees and understands that to receive all five payments, the winner must participate in the full term of the Internship. If the duration of the Internship is less that than the full term, the Winner will receive pro rata pay, based upon the time the Winner spends in the Internship.

  10. Name and Likeness
As a condition of winning, Winner will grant to the Organizer the right, in perpetuity and throughout the universe, to use Winner’s name, likeness, activities, attributes and/or biography in connection with the production, exhibition, advertising, distribution and other exploitation of the Contest, distributed, licensed or sold by the Organizer (including, without limitation, articles, promotional materials, television appearances and commercials, programming and interviews) and all subsidiary and ancillary rights therein, in perpetuity, throughout the world and in any and all media, whether now known or hereafter devised, including, without limitation, publications, and merchandising; provided, however, that in no event shall Winner be depicted as using or endorsing any product or service without Winner’s prior consent. The Organizer agrees to indemnify and hold Winner harmless from any and all claims or causes of action, established or otherwise, arising from or relating to the Organizer’s use of name or likeness of Winner.

  11. General Conditions
In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Contest is unable to run as planned for any other reason, as determined by Organizer in its sole discretion, the Organizer may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Contest and, in the event of termination, award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment. The Organizer reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the website or undermine the legitimate operation of the Contest may be in violation of criminal and civil law, and, should such attempt be made, the Organizer reserves the right to seek damages (including attorney’s fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Organizer to enforce any provision of these Official Rules shall constitute a waiver of that provision.

  12. Release and Limitations of Liability
By participating in the Contest, entrants agree to release and hold harmless the Organizer, and each of their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Contest, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the Release Parties) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the prize (including any travel or activity related thereto), including, but not limited to (a) any technical errors associated with the Contest, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, , telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electric, computer, human, printing or typographical errors; (d) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the Winner, the cancellation or postponement, or in any Contest-related materials; or (e) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Contest or acceptance, receipt or misuse of the prize (including any travel or activity related thereto). Entrant further agrees that in the cause of action, the Released Parties liability will be limited to the cost of entering and participating in the Contest, and in no event the entrant will be entitled to receive attorney’s fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

  13. Disputes
Except where prohibited, each entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Florida. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrants rights and obligations, or the right and obligations of the Organizer in connection with the Contest, shall be governed by, and construed in accordance with, the laws of Florida, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than Florida.
